Amendment to Interim Lease Agreement approved for Community Healthcare Partner Inc.

Needles, CA: Members of the Needles City Council voted unanimously to approve Resolution No. 2013-14 approving and consenting to a First Amendment to Interim Lease Agreement by and between Needles Municipal aka Colorado River Medical Center (“Lessor”) and Community Healthcare Partner Inc. (“Lessee”).

This vote by members of the Needles City Council came hours after members of the Board of Hospital Trustees voted unanimously to approve the agenda item and after members of the Board of Hospital Trustees heard from Needles City Attorney John Pinkney regarding the a licensing issue.

The licensing, according to the attorney for the Buyer that’s handling the CHOW Applications (Change of Ownership (CHOW) License Application), that their shooting for the end of June (2013) for the licensing to transfer which will mean that there will be a period of time after the initial closing, that the CHP (Community Healthcare Partner Inc.) will be operating under our (City of Needles) license… under the management. So we did contemplate in the Management Agreement that there will be possibly a period of time after the initial closing that they will continue to operate under the Management Agreement and with our (City of Needles) license,” said Needles City Attorney John Pinkney.

Shortly after, members of the Board of Hospital Trustees voted unanimously to approve the agenda item which then was now in front of the Needles City Council.

Needles City Attorney John Pinkney told Members of the Needles City Council that a letter from the Bureau of Land Management approved the Interim Lease Agreement by and between Needles Municipal aka Colorado River Medical Center (“Lessor”) and Community Healthcare Partner Inc. (“Lessee”).

Members of the Needles City Council voted unanimously to approve the agenda item with a vote of 4 to 0 with Needles City Council Member Jim Lopez and Needles City Council Member Linda Kidd excusing themselves because they have a conflict of interest regarding this agenda item.

This approval starts the 30 day initial closing of escrow and the City of Needles has 30 days to complete the initial closing which is the non real property portion of the transaction.

Once the initial closing is done, the hospital will get the purchase price of $2,577,000 minus $377,000 being withheld pending the real property closing and the $360,000 previously released from escrow.

Both Steve Lopez and Bing Lum of Community Healthcare Partners Inc. was congratulated were very happy for the vote.

Steve Lopez and Bing Lum of Community Healthcare Partners Inc. were also congratulated for the work being done around the hospital in trimming trees and painting the hospital so to make the hospital be presentable to the community.
